  1. Where did the money come from, and on what terms?

    The last financing: placement, note, at-the-market program, credit line. Price versus market, warrants, fees, counterparty. New shares as a percent of shares outstanding.

  2. How long does the cash last?

    Cash on the latest balance sheet divided by the quarter's operating cash burn. Under three months means a raise is coming. Check whether it already has.

  3. What are the insiders actually doing?

    Every Form 4, with its footnote. A "purchase" under a purchase agreement with the company is a placement, not an open-market buy.

  4. What has the last year of news actually been about?

    Every 8-K by date, one phrase each. Financing paperwork or the business? Compare press-release tone with the filings from the same weeks.

  5. Is anyone being paid to talk about it?

    Ticker plus "disclaimer" and "compensated". Paid promotion must disclose payer and amount, usually in small print at the bottom. Read it out.
